("VERSA") today reported that it has signed a Letter of Intent ("LOI") with the MacKay Group Limited (MKG) to appoint VERSA as the exclusive provider of smartcard technology and related services to MKG's recently announced planned Joint Venture in China. The MacKay Group Limited (MKG) recently announced on Friday May 23, 2008, that it has signed a memorandum of understanding (MOU) with the appointed agent of Jiashen Lifecare Investment Management Company Limited (CareLife), China International Medical Exchange Ltd (CIME), to form a joint venture in China with CareLife, anticipated to close in June 2008. Clients of the JV will include the two largest insurance companies in China along with a top China bank. Management believes that this LOI will open a window of opportunity to introduce VERSA to leading insurance companies, state-owned banks, CareLife's Medical Clinic Centers and government hospitals across China. MKG further stated that, it was at the request of its partners and potential clients, that MKG was asked to bundle in VERSA's technology, plus another technology as part of this process. The second technology was True Product ID, Inc. ("TPID"). MKG has appointed True Product ID, Inc. as the exclusive provider for the anti-counterfeiting solutions for the Carelife joint venture, and TPDI has accepted the appointment and agrees to provide such anti-counterfeiting solutions. Currently, MKG holds a Master License Agreement from Biofield Corp. for the exclusive distribution, development, manufacturing, clinical, regulatory, and R&D rights worldwide with regard to the Biofield Breast Cancer Technology. Biofield's breast cancer diagnostic device, the Biofield Diagnostic System (BDS), employs single-use sensors designed by Biofield and a measurement device to detect and analyze changes associated with the development of epithelial cancers, such as breast cancer. Given China's challenges with counterfeit or substandard medical technology, Carelife has also asked MKG to protect each of the BDS devices, 18 single-use sensors needed for each BDS test, and VERSA's smartcards used to pay for each BDS test with TPID's leading anti-counterfeiting technology. CareLife is a Medical Clinic Centre which sells their business through memberships. It is anticipated that it could be made mandatory that all members need to at least get one BDS test per year as part of their application renewal. Further, the same may be required by the insurance company partners to require their policyholders to go through a yearly medical check-up in order to renew and /or become eligible for their insurance policy coverage. The banking partners may also offer this service to its clients. The tests can be paid utilizing VERSA's smartcards. These smartcards can also track and maintain records on individual usage, medical history and other related financial and identity matters.
